1. About this application
AP Invoice AutoPost (“the Application”) is an internal accounting tool developed and operated by Smart-Cell Communications Inc. (“Smart-Cell”). It reads vendor invoices received by Smart-Cell and records them as Bills in Smart-Cell’s own QuickBooks Online company file.
The Application is not offered, sold, licensed or distributed to any third party. It is used solely by authorised Smart-Cell personnel, on Smart-Cell’s own accounting data.
2. Licence
Smart-Cell grants its authorised personnel a non-transferable, revocable licence to use the Application for Smart-Cell’s internal accounting operations. No other licence is granted to any person or entity.
3. Permitted use
The Application may be used only to:
– extract information from vendor invoices addressed to Smart-Cell;
– create and review accounts payable transactions in Smart-Cell’s QuickBooks Online company file;
– attach source documents to those transactions.
Any other use is unauthorised.
4. Intuit and QuickBooks Online
The Application connects to QuickBooks Online through Intuit’s published API under credentials issued to Smart-Cell. Use of QuickBooks Online remains subject to the agreements between Smart-Cell and Intuit. Intuit is not a party to this agreement, does not endorse the Application, and bears no responsibility for it.
5. Accuracy and human review
The Application assists with data entry. It does not replace professional judgement. Transactions it cannot process with confidence are held for manual review rather than posted. Smart-Cell personnel remain responsible for the accuracy of the accounting records, for reviewing what the Application produces, and for all filings derived from them.
6. No warranty
The Application is provided to Smart-Cell personnel “as is”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
7. Limitation of liability
To the fullest extent permitted by law, Smart-Cell shall not be liable for any indirect, incidental, special or consequential damages arising from use of the
Application.
8. Changes
Smart-Cell may modify or discontinue the Application at any time. Material changes to this agreement will be published at this address.
9. Governing law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
